The Iowa Sustainable Business Forum (ISBF) is a 501c6 non-profit industry association. Each member business designates a single employee representative as the main directory contact. That person must work on environmental or social performance, not sales, for their business. All employees of member businesses may still participate in programming for free – unless special events note otherwise. The majority of ISBF events are free, provided that ISBF, in its sole discretion, may charge non-members a premium to attend events. ISBF Code of Conduct For Member Organizatoins and Guests These guidelines apply to our formal meetings, and also to discussions during breaks, in informal settings, and on the membership area of our website. If anyone feels uncomfortable about any subject of discussion, or has any questions, please speak up and we will stop the conversation until we can provide legal guidance.Sharing Best Practices Goal: To share proven best practices that have been used to solve real business problems. Use provided networking opportunities to build relationships of mutual understanding with members and their stated needs. Avoid utilizing formal event settings (e.g. directory listings, discussion forums) to actively offer unsolicited sales pitches. Over sales-related activities should be directed through sponsorship opportunities. For example… During roundtables, introductions include an opportunity to briefly share a recent success. Attendees then should use their turn to ask for help solving a problem (other than sales) or pass. Topic experts can offer suggestions to other companies–if a request is made during their turn. Do not spam the directory with sales emails or phone calls. Report complaints to our staff.Anti-Trust Compliance Goal: Avoid all impropriety—event the appearance of impropriety—including coercion or exclusivity. Avoid discussion of prices, pricing policies, terms or conditions of doing business, or any sort of market allocation. Avoid discussions that suggest anyone should cease doing business with a particular supplier or customer, or which could be perceived as such. For example… Presenters, members, and attendees are asked to share their personal business experience, choices made, and lessons learned. We consider those unique to their circumstances, for informational purposes, and not as an official endorsement or agreement being entered into by anyone present.In Witness Whereof, each Party has caused this Agreement to be duly executed as of the date of this submission.Code of Conduct* I have read and agree to the Code of Conduct ISBF Non-Disclosure Agreement (NDA) For Member Organizations and GuestsPurpose The Parties desire to enter into a confidential relationship with respect to the disclosure of certain confidential information relating to social and environmental best practices in business for the purpose of preventing the unauthorized disclosure of Confidential Information. Either Party to this Agreement may be a Disclosing Party or Receiving Party as the circumstances dictate.Confidential Information Defined and Marking For the purpose of this Agreement, Confidential Information means all information in tangible or intangible form that is proprietary to the Disclosing Party, non-public information concerning the Disclosing Party, or disclosed by the Disclosing Party and could have commercial value in the business in which the Disclosing Party is engaged (collectively, “Confidential Information”). All information shared during official ISBF business and events will be considered Confidential Information, whether marked as such or no, and whether transmitted orally, visually, or in writing, unless explicitly identified as not confidential by the Disclosing Party; provided, Confidential Information shall not include information (i) which is now or subsequently becomes available to the general public other than as a result of the act or omission of the Receiving Party, (ii) already in the possession of the Receiving Party at the time of disclosure hereunder, without any obligation of confidentiality with respect thereto and as documented by prior writings, and (iii) subsequently received by the Receiving Party from a third party not under any obligation of confidentiality to the Disclosing Party with respect thereto, and (iv) independently developed by the Receiving Party without reference to the Confidential Information. All Confidential Information shall be the exclusive property of the respective Disclosing Party, and such Disclosing Party shall have the exclusive right to duplicate, implement, and dispose of such Confidential Information. Nothing in this Agreement shall be interpreted or construed as granting any Receiving Party any license under, ownership in, or right to any Confidential Information, whether expressly, by implication, estoppel or otherwise. All Confidential Information disclosed hereunder is provided “AS IS.” Disclosing Party makes no representation or warranty concerning the accuracy or completeness of any Confidential Information. Disclosing Party shall not be liable to any Receiving Party for any business decision such Receiving Party makes in anticipation of any possible future business relationship or based on any Confidential Information disclosed by Disclosing Party. In the event of a Party visiting any of the premises of the other Party, the visiting Party undertakes that any further Confidential Information which may come to its knowledge as a result of any such visit, inclusive of the form, materials and design of the various elements of any relevant plant or facility and equipment which may be seen at such premises as well as all the plant or facility as a whole, the methods of operations thereof, shall be kept strictly confidential and that any such information shall not be divulged to any third party.Confidentiality Undertaking Each Receiving Party, including, without limitation, its respective officers, directors, employees, agents, consultants and representatives (collectively, “Receiving Party Representatives”) will hold in trust and maintain confidential, not disclose or make available to any third party whether orally, electronically, on disk, in writing, or otherwise, without prior written approval of the Disclosing Party, and not use for itself or for any third party (other than a use by a Party for the purposes stated above) any Confidential Information received from the other Party hereunder. Any breach of this Agreement by any Receiving Party Representative shall be deemed a breach of this Agreement by such Receiving Party. In the event a Receiving Party becomes legally compelled to disclose any Confidential Information, whether by subpoena, deposition, interrogatory, or similar legal, judicial, or administrative process, the Receiving Party shall provide the Disclosing Party with prompt prior written notice (where permitted by law), so the Disclosing Party may, in its discretion, seek a protective order. However, nothing in this Agreement shall prohibit the Receiving Party from disclosing Confidential Information to the extent legally required by such process. Upon the Disclosing Party’s request, each Receiving Party shall promptly return or destroy the Disclosing Party’s Confidential Information and certify such return or destruction in writing.Remedies; Injunctive Relief The Receiving Party authorizes the Disclosing Party to seek injunctive relief in order to prohibit the Receiving Party from (or to cause the Receiving Party to cease) breaching any of the terms hereof, as well as to seek all other legal or equitable remedies to which the Disclosing Party may be entitled. The Receiving Party agrees that if the Disclosing Party seeks an injunction to prevent the Receiving Party from breaching this Agreement, the Disclosing Party will not be required to post any bond. The prevailing Party in any action brought to enforce the terms of this Agreement shall be entitled to recover its expenses, including reasonable attorney’s fees, from the non-prevailing party. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and replaces and supersedes any prior understanding or agreement, whether written or oral, concerning such subject matter. Headings herein are inserted for convenience only and shall not be used to construe the meaning of any provision herein. This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa. This Agreement may be executed in counterparts, each of which shall be deemed an original and, together, shall constitute one and the same instrument. To be enforceable, any waiver of any right hereunder or any amendment or modification to this Agreement shall be in writing, signed by the party against whom enforcement of the same is sought. No Party shall assign this Agreement or any of its rights or obligations hereunder. If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
